Boards are pressed to evolve in sync with the rapidly evolving business environment and regulation. Having the right balance of skillsets, inputs and diversity of thought around the board table will be crucial to growth and sustained success.
In their drive to deliver good stakeholder outcomes, boards will be reliant on the recognition of the need for businesses to be competitive baked into the governance code and its application. The FRC’s recently published revised UK Corporate Governance Code and Guidance will be followed by consultation on a root and branch review of the Stewardship Code. In announcing these changes, FRC emphasises its role in supporting UK’s economic growth and international competitiveness.
The recent MM&K ‘Life in the Boardroom’ report highlight a number of Board trends and developments with the feedback that Chairs and NEDs feeling that they are being burdened with more and more responsibility. Observations included:
“The complexities/responsibilities of being a NED is becoming onerous. To the point that even though you wish to ‘give back’ it makes you question the position.”
“Generally, the workload of a NED has increased significantly, as has the risk, but pay has not increased proportionately.”
